Terms of Service

These clickthrough terms cover use of the Focale Cloud Service. They follow the Common Paper Cloud Service Agreement 2.1 cover-page model. Paid plans are Free $0, Watch $9.50, and Protect $24.50 per app, billed monthly. You may cancel anytime.

If you signed a separate Order Form to access Focale with the same account, and that agreement has not ended, that Order Form applies instead of the terms below.

This Agreement is between Valentin Marchaud (entrepreneur individuel) (“Provider”) and the company or person accessing or using the Cloud Service (“Customer”). If you accept on behalf of a company, you represent that you are authorised to bind that company. By signing up, accessing, or using Focale, Customer accepts this Agreement.

This Agreement consists of (1) the Order Form and Key Terms below and (2) the Common Paper Cloud Service Standard Terms Version 2.1, which are incorporated by reference. Modifications in this Cover Page control over conflicts with the Standard Terms. Common Paper terms are used under CC BY 4.0.

Cover Page — Order Form

Cloud Service

Focale watches signup, checkout, and deploys on a live Lovable, Bolt, or Replit app and explains what broke in plain English, with a proven fix path. Access to Customer’s codebase is read-only. Focale does not take write access to Customer’s production database. Customer approves anything near money or accounts. By default every proposed fix waits for Customer.

Order Date

The Effective Date (the date Customer first accepts this Agreement).

Subscription Period

One month, renewing automatically until cancelled as described under Cancel anytime.

Cloud Service Fees

Per app, in US dollars, billed monthly. Current prices, also listed at focale.io/pricing:

  • Free: $0 per app per month.
  • Watch: $9.50 per app per month.
  • Protect: $24.50 per app per month.

Provider may update prices by giving at least 30 days’ notice (including email or an in-product notice). The new price applies in the next Subscription Period. New accounts may receive a Watch trial as shown in the product; the trial does not require a card.

Payment process

Free does not require a payment method. For Watch and Protect, Customer authorises Provider to bill and charge Customer’s payment method on file monthly through Stripe, without a separate invoice approval for each period. Provider will make billing history available in the product.

Cancel anytime

Modifying Section 5.1 of the Standard Terms: this Order Form renews monthly, but Customer may cancel anytime in the product or by notice to founders@focale.io. No 30-day advance notice is required. Access continues until the end of the current monthly Subscription Period. Fees already paid for that period are not refunded except where the Standard Terms or applicable law require a refund.

Use limitations

Use is for Customer’s own apps. Flow and fix limits follow the plan (Free: one critical flow and one proven fix per month; Watch: all critical flows and three proven fixes per month; Protect: all critical flows and unlimited proven fixes, with safer fixes able to ship with notice). Payments, auth, and anything that writes Customer’s data always ask first.

Technical support

Email founders@focale.io. No committed response time and no SLA.

Professional services

None unless a separate written Order Form says so.

Cover Page — Key Terms

  • Customer: the company or person who accesses or uses the Product. If the person accepting does so on behalf of a company, “Customer” means that company.
  • Provider: Valentin Marchaud (entrepreneur individuel), operating Focale at focale.io.
  • Effective Date: the date Customer first accepts this Agreement.
  • Governing Law: France.
  • Chosen Courts: the competent courts of France.
  • General Cap Amount: 1x the fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.
  • Notice Address for Provider: founders@focale.io.
  • Notice Address for Customer: the main email address on Customer’s account.

Covered Claims

Provider Covered Claims: any action, proceeding, or claim that the Cloud Service, when used by Customer according to the Agreement, infringes a third party’s intellectual property or other proprietary rights.

Customer Covered Claims: any action, proceeding, or claim (1) that Customer Content, when used according to the Agreement, infringes a third party’s intellectual property or other proprietary rights; and (2) arising from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.

Security policy

Provider will use commercially reasonable efforts to secure the Cloud Service. In particular: read-only codebase access; no write access to Customer’s production database; Customer approval for anything near money or accounts. Details are in the Privacy Policy at /privacy.

Changes to the Standard Terms

  • Cancel anytime as described above (modifying automatic-renewal notice in Section 5.1).
  • Fees are in US dollars and are charged in USD via Stripe.
  • Section 1.6 (Machine Learning): Provider may send watch data and read-only code excerpts to Vercel AI Gateway solely to provide the Cloud Service (plain-English explanations and proposed fixes), with no retention of those prompts. Provider does not resell Customer’s codebase and does not use it except to provide the Cloud Service. Provider does not use identifiable Customer Content to train public general-purpose models.
  • No SLA. No DPA is attached to this clickthrough unless the parties sign one separately. Before submitting personal data for which Customer is controller and Provider would be processor under GDPR beyond the account data described in the Privacy Policy, Customer should contact Provider for a DPA.

Product rules that sit on top of the Standard Terms

  • Customer is responsible for the live Lovable, Bolt, or Replit app Focale watches, including that app’s own users and that app’s own processors.
  • Proposed fixes are not guaranteed to be complete or error-free. Customer reviews and approves them. One-click undo is available for shipped fixes as described in the product.
  • Provider may suspend the Cloud Service for unpaid Watch or Protect invoices, or if use harms the Service or violates these terms.
  • The public marketing site at focale.io may collect a waitlist email under the Privacy Policy. Joining the waitlist is not a paid subscription.

They cover access, restrictions, privacy and security, payment, term and termination, warranties, limitation of liability, indemnification, confidentiality, and general terms. A copy is not reproduced here so that version 2.1 stays the unmodified hosted text.
